These Terms of Use (the “Terms”) are a legally binding agreement between you and Arthas, a corporation with its principal place of business in Ontario, Canada, operating as WoofChef (“WoofChef,” “we,” “us,” or “our”).
These Terms govern your access to and use of woofchef.app, including its recipe-analysis tools, Guided recipe-formulation features, suggestions, saved recipes, printable materials, account features, articles, and related services (collectively, the “Service”).
Please read these Terms carefully. By accessing or using the Service, creating an account, or clicking a button indicating your agreement, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility and permitted users
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service.
If you use the Service on behalf of a business or other organization, you represent that you have authority to bind that organization to these Terms. In that case, “you” includes both you and the organization.
The Service is intended primarily for individual dog owners planning home-prepared food for their own dogs. Unless we agree otherwise in writing, the Service is not licensed for commercial pet-food production, veterinary prescribing, or preparing recipes for paying clients.
2. What WoofChef does
WoofChef is an independent nutrition planning and analysis tool. Depending on the feature you use, the Service can:
- analyze a recipe and calculate estimated nutrient amounts;
- compare those calculated amounts with selected National Research Council (“NRC”) 2006 adult-dog nutrient values;
- identify calculated nutrient gaps, amounts above checked safety limits, and incomplete or uncertain data;
- suggest possible ingredient or quantity changes while leaving the decision to you;
- generate Guided starter formulations from the information and preferences you provide;
- show daily and batch quantities;
- save, load, and print recipes when those features are available; and
- provide educational information about canine nutrition and ingredients.
WoofChef provides automated calculations and formulations. It does not provide veterinary diagnosis, treatment, prescriptions, veterinary approval, or feeding-trial certification.
Unless the Service expressly states otherwise, recipe quantities are stated as raw purchase weights and foods are expected to be prepared appropriately before feeding.
3. Supported scope
WoofChef currently supports home-prepared cooked meals for healthy adult dogs eating maintenance diets, using the NRC adult-dog standards available within the Service.
Unless a feature expressly says otherwise, do not use or rely on the Service to formulate or evaluate:
- food for puppies or growing dogs;
- food for pregnant or nursing dogs;
- therapeutic or prescription diets;
- diets intended to diagnose, treat, cure, prevent, or manage an illness;
- diets for dogs with a medical condition or other special nutritional need;
- ratio-based raw or BARF diets;
- commercial pet food; or
- food for an emergency veterinary situation.
Allergies, intolerances, medication interactions, medical history, and individual nutritional needs require assessment by a qualified veterinary professional. If your dog may be ill, may have eaten something toxic, or may be experiencing an emergency, contact a veterinarian, emergency veterinary clinic, or animal poison-control service immediately. Do not wait for a response from WoofChef.
4. Not veterinary care; no professional relationship
WoofChef is not a veterinarian, veterinary clinic, veterinary nutritionist, diagnostic service, or emergency service. The Service does not practise veterinary medicine and is not a substitute for a veterinarian or qualified veterinary nutritionist who knows your dog’s medical history and current condition.
Using the Service or communicating with WoofChef does not create a veterinarian-client-patient relationship, professional-client relationship, fiduciary relationship, or other professional duty of care.
You should consult a veterinarian before making or materially changing your dog’s diet. Professional veterinary guidance is especially important if you are unsure whether your dog falls within WoofChef’s supported healthy-adult maintenance scope.
5. What a WoofChef result means
WoofChef produces estimates from the information you enter, representative food-composition data available to the Service, and the calculation rules, standards, and product policies in effect at the time of analysis.
A result such as “Meets NRC Minimums,” “Meets NRC Targets,” “balanced,” or similar wording means only that the recipe’s calculated values met the identified thresholds on the selected basis, using the information and data available to the Service at that time. It does not mean that:
- the recipe has undergone a feeding trial or laboratory analysis;
- the food you purchase has exactly the same nutrient composition as the representative data;
- every possible nutrient, contaminant, toxin, allergen, interaction, or safety concern has been evaluated;
- the recipe is suitable, digestible, palatable, or tolerated by a particular dog;
- the recipe is appropriate for treating or managing a medical condition;
- the recipe has been approved by a veterinarian, the NRC, a government agency, or another professional or regulatory body; or
- the result will remain current after the recipe, data, software, standards, scientific knowledge, or WoofChef policies change.
A result without a warning is not a guarantee that a recipe is safe in every respect. The Service can identify only the issues it is designed to evaluate using the information and data available to it.
Follow the status and warnings shown with an output. Do not feed a recipe that WoofChef labels “Do not feed.” Treat a result identified as incomplete, unverified, or not ready as unresolved until the identified concern has been addressed and the recipe has been reviewed again.
If you edit a saved or printed recipe, do not represent the edited version as an unchanged WoofChef output. Re-run the current analysis after changing an ingredient, quantity, preparation state, serving schedule, dog weight, supplement, or product, and before relying on an older saved or printed result.
6. Beta service and possibility of errors
WoofChef is currently offered as a beta service and remains under active testing and development. Although we work to make the Service accurate and use safeguards designed to identify known nutritional and software problems, beta features may contain software defects, calculation or rounding errors, incomplete or inaccurate data, interruptions, lost or unavailable saved information, or features that do not work as intended. The Service may produce an incorrect or incomplete result.
Features, data, calculations, terminology, warnings, and outputs may change as we test and improve the Service. We may correct an error or reanalyze a result without preserving an earlier result.
Participation in the beta is voluntary. You acknowledge that beta software is still being evaluated and accept the ordinary risks of testing software under development. You remain responsible for reviewing your inputs, the identity of each ingredient and supplement, all displayed quantities, the analysis result, and every warning before deciding how to use an output.
If a result appears incorrect, inconsistent, or unexpected, do not rely on it. Stop and report it to us through the contact form or at legal@arthas.ai.
Beta status does not remove any right, warranty, remedy, or liability that cannot lawfully be excluded or limited.
7. Food-data and ingredient limitations
WoofChef uses representative nutrient information from sources such as government food-composition databases, published references, and reviewed product information. Nutritional science, source data, and standards may change over time. Calculated nutrient totals cannot fully account for bioavailability, digestibility, nutrient interactions, or an individual dog’s response.
The actual composition of an ingredient can differ from its representative data because of species, variety, cut, brand, formulation, supplier, growing or feeding conditions, fat and moisture content, trimming, processing, cooking method, temperature, time, storage, batch variation, manufacturer reformulation, label changes, nutrient losses, incomplete source information, or errors in source data.
The presence of an ingredient in the Service does not mean WoofChef endorses it or considers it safe for every dog. Some vitamins and minerals can cause harm at excessive amounts. Combining supplements or supplemented products can create unintended excesses even when each product is used according to its own label.
WoofChef does not inspect or test your ingredients, verify the accuracy of a manufacturer’s label, check the specific food in your kitchen, detect pathogens or contaminants, or determine whether food has been recalled, substituted, stored improperly, or spoiled.
8. Home-prepared food risks and your responsibilities
Preparing and feeding home-prepared dog food involves risks that software cannot eliminate. These include nutritional deficiency or excess, ingredient variation, allergens and intolerances, interactions with medications or supplements, contamination, food-borne pathogens, undercooking, spoilage, foreign material, unsafe ingredients, and preparation, storage, or handling errors.
You are responsible for:
- providing complete and accurate dog information, ingredients, quantities, units, preparation states, serving information, exclusions, and supplement details;
- confirming that each selected ingredient or product matches what you actually purchase, prepare, and use;
- reviewing the label and instructions for every food, supplement, and product;
- not adding or stacking supplements without accounting for nutrients already present in the complete recipe;
- checking for recalls, spoilage, contamination, and ingredients that may be toxic or otherwise unsuitable for your dog;
- following appropriate sanitation, preparation, cooking, cooling, and storage practices;
- staying within the Service’s supported scope and following displayed warnings;
- introducing dietary changes appropriately and monitoring your dog’s weight, appetite, stool, behaviour, hydration, and general condition; and
- stopping use of a recipe and seeking veterinary advice if your dog has an adverse reaction or other health concern.
You decide whether and how to use a calculation, suggestion, formulation, or other output and accept the ordinary risks arising from your ingredients, preparation, storage, handling, substitutions, and decisions. This assumption of identified risks does not release WoofChef from liability that cannot lawfully be excluded.
9. Accounts and account security
Some features require an account. You agree to provide accurate account information and keep it current.
WoofChef may offer sign-in through Google or another third-party identity provider. Your use of that provider is also governed by its own terms and privacy practices. The availability of a sign-in option does not mean that Google or another provider sponsors, approves, or endorses WoofChef.
You are responsible for maintaining control of the email address or third-party account used to sign in, protecting your devices and authenticated sessions, and promptly notifying us if you suspect unauthorized access. You are responsible for activity through your account except to the extent caused by our failure to use safeguards required by law.
You may stop using the Service at any time and may request account deletion as described in our Privacy Policy or by contacting us.
We may suspend or terminate access when reasonably necessary to address a material breach of these Terms, unlawful conduct, fraud, abuse, a security risk, harm to the Service or others, prolonged inactivity under a disclosed retention policy, or a legal requirement. Where appropriate, we will consider the nature of the issue and whether it can reasonably be corrected before termination.
10. Privacy and communications
Our Privacy Policy explains how we collect, use, store, disclose, retain, and delete personal information, including information associated with account sign-in and saved recipes. If these Terms and the Privacy Policy conflict regarding personal-information handling, the Privacy Policy controls.
We may send communications reasonably necessary to operate your account or provide the Service, such as authentication messages, security notices, support responses, and notices about material changes to the Service, these Terms, or the Privacy Policy.
We will send promotional electronic messages only as permitted by applicable law and the consent choices presented to you. Where required, promotional messages will include a way to unsubscribe.
11. Your recipes and other content
As between you and WoofChef, you retain any rights you have in recipe information and other content you submit to the Service (“User Content”).
You grant WoofChef a limited, worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit, and display User Content as reasonably necessary to provide the features you request, maintain and secure the Service, troubleshoot problems, comply with law, and otherwise handle the information as described in the Privacy Policy. This licence includes the right to allow service providers acting for us to perform those functions.
This licence continues only as long as reasonably necessary for those purposes, subject to the deletion, backup, security, legal-retention, and de-identification practices described in the Privacy Policy.
You represent that you have the right to submit User Content and that doing so does not violate another person’s intellectual-property, privacy, confidentiality, or other rights. Do not submit unnecessary human medical information, financial information, government identification numbers, passwords, or other highly sensitive information.
If you voluntarily provide suggestions, ideas, or other feedback about WoofChef, you grant us a perpetual, worldwide, non-exclusive, royalty-free licence to use that feedback to operate, improve, and promote the Service without restriction or compensation. This does not give us ownership of your private recipes.
12. Limited licence
Subject to these Terms, WoofChef grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable licence to access and use the Service for your own non-commercial purposes.
You may print or share your own recipe output with members of your household and with veterinary professionals involved in your dog’s care.
Unless we give written permission, you may not:
- sell, license, publish, or commercially distribute reports or formulations generated through the Service;
- use the Service to formulate commercial pet food or prepare recipes for paying clients;
- represent a WoofChef output as veterinary advice, veterinary approval, regulatory approval, laboratory verification, or feeding-trial evidence;
- operate or develop a competing service using WoofChef’s protected content, software, compilations, or non-public data;
- use the Service, its protected content, or substantial extracted data to train or develop an artificial-intelligence or machine-learning model;
- remove or obscure copyright, trademark, attribution, warning, or other proprietary notices; or
- authorize another person to do any of the above.
This licence ends when you stop using the Service or when your access is terminated under these Terms.
13. Prohibited conduct
You must not:
- use the Service unlawfully, fraudulently, deceptively, or to violate another person’s rights;
- use the Service to harm an animal or person;
- misrepresent an output as suitable for a use outside WoofChef’s stated scope;
- use another person’s account without authorization or impersonate another person;
- use automated scripts, bots, scraping, data-mining, or extraction tools, except for ordinary search-engine indexing permitted by our technical instructions;
- copy, reproduce, republish, sell, or commercially exploit a substantial portion of the Service or its protected databases;
- reverse engineer, decompile, disassemble, probe, or attempt to obtain source code or non-public data, except where applicable law expressly permits it;
- bypass access controls, security protections, feature restrictions, or rate limits;
- interfere with the Service or place an unreasonable burden on its infrastructure;
- introduce malware or harmful content; or
- encourage or assist another person in doing any of the above.
We may investigate suspected violations and take reasonable action to protect the Service, its users, and others.
14. WoofChef intellectual property
The Service, including its software, interface, design, branding, text, graphics, original content, and protectable selections and arrangements, is owned by or licensed to WoofChef and is protected by applicable intellectual-property laws. This does not claim ownership of User Content, public-domain material, or third-party information merely because it appears in the Service.
“WoofChef” and related names, logos, and branding are our marks. You may not use them in a way that suggests sponsorship, endorsement, affiliation, or approval without written permission.
Third-party names, trademarks, data, and materials remain the property of their respective owners. References to the NRC, National Academies, USDA, Google, Supabase, food-data providers, manufacturers, or other organizations are for identification and informational purposes and do not imply sponsorship, endorsement, certification, or affiliation.
No rights are granted except those expressly stated in these Terms.
15. Third-party services and links
The Service may use or link to third-party identity providers, hosting providers, databases, analytics or communications providers, websites, and other resources. We do not control independent third-party services and do not guarantee their availability, security, accuracy, content, products, or practices. Your use of an independent third-party service may be governed by its own terms and privacy policy. A link or technical integration does not mean that either party endorses the other.
16. Changes and availability
We may correct data, calculations, wording, or other errors and may add, change, suspend, limit, or discontinue all or part of the Service.
To the fullest extent permitted by law, we do not promise that the Service will always be available, uninterrupted, secure, or error-free; that every error will be corrected; that a particular ingredient, feature, recipe, or saved record will remain available; or that an output will remain unchanged after the Service’s data, software, scientific sources, or policies change.
Where reasonably practicable, we will provide notice before a material discontinuation that affects saved User Content. You are responsible for keeping copies of information you need.
17. Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE AND ITS CONTENT, DATA, CALCULATIONS, SUGGESTIONS, FORMULATIONS, AND OTHER OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
To the fullest extent permitted by law, WoofChef disclaims representations, warranties, and conditions that are not expressly stated in these Terms, whether express, implied, statutory, or collateral, including warranties or conditions of accuracy, completeness, reliability, availability, merchantability, fitness for a particular purpose, title, quiet enjoyment, and non-infringement.
Without limiting the sections above, we do not warrant or guarantee that a particular recipe, ingredient, amount, preparation method, nutrient calculation, suggestion, formulation, or other output will be safe, complete, suitable, tolerated, effective, or appropriate for a particular dog.
Some jurisdictions do not permit the exclusion of certain warranties or conditions. In those jurisdictions, the exclusions above apply only to the maximum extent permitted by law. Nothing in these Terms excludes or varies a statutory warranty, condition, right, or remedy that cannot lawfully be excluded or varied.
18. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WOOFCHEF AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR CONNECTED WITH THE SERVICE OR THESE TERMS.
This includes, to the fullest extent permitted by law, loss of revenue, profits, opportunity, goodwill, anticipated savings, data, or recipes, and losses arising from service interruption or inability to access the Service, even if we were advised that such a loss was possible.
To the fullest extent permitted by law, the total aggregate liability of WoofChef and the parties listed above for all claims arising from or connected with the Service or these Terms, including claims involving an animal’s injury, illness, adverse reaction, or death and associated veterinary expenses, whether in contract, tort, negligence, statute, or otherwise, will not exceed the greater of:
- the amount you paid directly to WoofChef for the Service during the 12 months before the event giving rise to the claim; and
- C$100.
This allocation of risk reflects the nature of a beta planning service and is an important basis on which the Service is made available. If a limitation is found unenforceable, liability will be limited only to the maximum extent permitted by law.
Nothing in these Terms excludes or limits liability for fraud or wilful misconduct, or any other liability that cannot lawfully be excluded or limited. Your mandatory consumer rights remain unaffected.
19. Indemnification for third-party claims
To the extent permitted by law, you agree to indemnify WoofChef and its directors, officers, employees, and contractors against a third party’s claim, and resulting damages and reasonable legal costs, to the extent the claim arises from:
- User Content you submitted that infringes or violates the third party’s rights;
- your unlawful, fraudulent, or intentionally harmful use of the Service;
- your unauthorized commercial or professional use of the Service or its outputs; or
- your material misrepresentation of an altered WoofChef output as unchanged, or of a WoofChef output as veterinary, regulatory, or professional approval.
We will provide reasonable notice of an indemnified claim and allow you to participate in its defence. We may take control of the defence where reasonably necessary to protect our interests. You may not settle a claim in a way that admits fault by or imposes an obligation on WoofChef without our written consent.
20. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law rules.
Before starting formal proceedings, you and WoofChef agree to make a reasonable good-faith effort to resolve the dispute informally. A written notice should describe the issue and requested resolution and be sent to legal@arthas.ai. The receiving party will have 30 days to respond before either party starts proceedings, unless a legal limitation period, urgent circumstances, or the need for injunctive relief reasonably requires earlier action.
Subject to any mandatory right to bring a claim elsewhere, the courts of Ontario will have jurisdiction over disputes arising from these Terms or the Service.
Nothing in this section limits a consumer’s right to commence or participate in a class proceeding, use a statutory remedy, make a complaint to a regulator or other authority, or exercise another right that cannot lawfully be limited.
21. Changes to these Terms
We may update these Terms to reflect changes to the Service, our practices, legal requirements, or risk controls. We will identify the current version by its “Last updated” date.
If a change materially affects your rights, we will provide reasonable additional notice, such as an in-product notice or email, and will request renewed acceptance where required by law. Unless otherwise stated, updated Terms apply from their stated effective date. Changes will not retroactively reduce rights that cannot lawfully be reduced.
22. General terms
These Terms, together with the Privacy Policy and any feature-specific terms presented to you, constitute the entire agreement between you and WoofChef concerning the Service.
If a provision is found unlawful or unenforceable, it will be enforced to the maximum extent permitted by law and the remaining provisions will continue in effect. Our failure to enforce a provision is not a waiver of that provision.
You may not assign your rights or obligations under these Terms without our written consent. We may assign these Terms as part of a merger, reorganization, financing, sale of assets, or transfer of the Service, subject to applicable privacy and consumer-protection law.
We are not responsible for a delay or failure caused by an event beyond our reasonable control, but this does not excuse an obligation that applicable law does not permit us to exclude.
Nothing in these Terms creates an employment, agency, partnership, joint venture, franchise, fiduciary, professional-client, or veterinarian-client-patient relationship. There are no third-party beneficiaries.
Sections that by their nature should continue after termination will survive, including provisions concerning User Content, intellectual property, warranties, liability, indemnification, disputes, and general terms.
